b)Because gravity is attractive so acts to decrease the distance between the two object.
c)dV=-GM(1/r2-1/r1)=-6.67*10^-11*6*10^24*(1/(6.4*10^6+1.3*10^7)-1/(6.4*10^6)
=41.9*10^6 J/Kg

Notice I had to change to m 6.4*10^3km=6.4*10^6m
